1. Acceptance of Terms

Welcome to Voiyant. These Terms and Conditions ("Terms") govern your use of the Voiyant platform and services. By creating an account, accessing, or using Voiyant, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations.

2. Definitions

• "Platform" means the Voiyant website, mobile applications, APIs, and related services.
• "User" means any individual who accesses or uses the Platform.
• "Client" means a User who books and/or purchases sessions with Avatars.
• "Avatar" means a User who provides services or experiences through the Platform.
• "Session" means a live interaction (video/audio/chat) between a Client and an Avatar.
• "Services" means all features and services provided via the Platform.
• "Content" means any text, image, audio, video, chat, profile information, and other material.

4. Account Registration & Security

To use certain features of the Platform, you must register an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and update your account information to keep it accurate.
• Maintain the security and confidentiality of your credentials.
• Accept responsibility for all activities under your account.
• Notify us immediately of any unauthorized use or suspected breach.

You must be at least 18 years old to use the Platform.

5. Use of the Platform

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable laws or regulations.
• Infringe the rights of others, including privacy, publicity, or intellectual property rights.
• Transmit harmful, abusive, harassing, hateful, discriminatory, or inappropriate content.
• Interfere with or disrupt Platform operations, servers, or networks.
• Attempt to gain unauthorized access to systems, accounts, or data.
• Use bots, scrapers, or automated systems without our written permission.
• Circumvent fees, payments, or the Platform's safety features.

6. Marketplace Nature / No Employment

Voiyant is a technology marketplace. We connect Clients with Avatars. Avatars are independent providers and are not employees, agents, joint venturers, partners, or representatives of Voiyant.

Voiyant does not control how an Avatar performs a Session, does not guarantee quality, legality, safety, or outcomes, and is not responsible for disputes between Users. Any agreement formed is between Client and Avatar.

7. Live Content, Recording & Safety

7.1 Live & Unmoderated

Sessions are live and may be unmoderated. Voiyant does not guarantee that Sessions will be uninterrupted, error-free, or available at all times.

7.2 No Platform Recording

Voiyant does not record or store the audiovisual content of Sessions by default. If certain diagnostic logs are generated, they are limited to technical metadata necessary for security, fraud prevention, support, and service reliability.

7.3 User Recording Restrictions

Recording a Session (screen recording, audio recording, or otherwise) may be illegal in some jurisdictions without explicit consent. You are solely responsible for complying with local laws and obtaining all necessary consents. Voiyant is not responsible for unauthorized recordings or distribution by Users.

7.4 Safety & Illegal Requests

Clients must not request illegal, dangerous, privacy-invasive, or harmful activities. Avatars must refuse such requests. Users are solely responsible for their conduct and for compliance with local laws (including filming rules, permits, trespass, and privacy rights of bystanders).

8. Payments, Fees & Refunds

Payments are processed securely through third-party payment providers. By making a payment, you agree to:

• Pay all fees associated with your use of the Platform.
• Provide accurate payment information and authorize charges.
• Comply with the payment provider's terms, if applicable.

Refund policies (if any) are described in a separate Refund Policy document and/or presented at the time of purchase. Unless required by mandatory consumer protection laws, all purchases may be final.

9. Intellectual Property

The Platform and its content (excluding user-generated content), including text, graphics, logos, and software, are owned by Voiyant or its licensors and are protected by intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the Platform for its intended purposes.

10. Third-Party Services

The Platform may integrate or link to third-party services (payment providers, analytics, communications infrastructure). Voiyant is not responsible for third-party services, and your use is subject to their terms and policies.

11. Disclaimers & Limitation of Liability

Disclaimer: The Platform is provided "as is" and "as available". To the maximum extent permitted by law, Voiyant disclaims all warranties (express or implied), including fitness for a particular purpose, non-infringement, and merchantability.

Limitation of liability: To the maximum extent permitted by law, Voiyant shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of the Platform or any Session.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. In such cases, Voiyant's liability will be limited to the maximum extent permitted by applicable law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Voiyant from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Platform; (b) your breach of these Terms; (c) your violation of any law or third-party rights; or (d) your interactions with other Users.

13. Suspension & Termination

We may suspend or terminate your account at any time if we reasonably believe you violated these Terms, the Code of Conduct, or applicable laws, or if necessary to protect Users, Voiyant, or the public. You may also close your account at any time.

14. Changes to Terms

We may modify these Terms at any time. We will notify Users of significant changes via email or through the Platform. Continued use after changes becomes effective constitutes acceptance of the updated Terms.

15. Governing Law; EU Consumers; US Users

15.1 Governing Law (Default)

These Terms shall be governed by and construed in accordance with the laws of Romania, and applicable EU regulations, without regard to conflict of law provisions.

15.2 EU Consumer Rights

If you are a consumer residing in the EU/EEA, you may benefit from mandatory consumer protection laws in your country of residence. Nothing in these Terms limits such rights.

15.3 US Users – Optional Arbitration Clause (Recommended)

If you plan to operate widely in the USA, consider adding a binding arbitration clause and class action waiver. This clause must be reviewed by US counsel and adapted (AAA/JAMS, opt-out window, notice address).
